Terms of Sale

1. Purpose

These Terms of Sale (ToS) govern the conditions under which Meridian Synergy SAS (SIREN 101 847 895, 2 rue des Cages, 58200 Saint-Père, France) sells access to the Waypoint360 marketplace accessible at waypoint360.eu (hereinafter 'the Service').

Any subscription to the Service implies full and unreserved acceptance of these ToS. They take precedence over any contrary conditions of the purchaser unless agreed in writing in advance.

2. Pricing

Client access to the marketplace (submitting requests, receiving proposals, tracking missions) is free and is not subject to billing. These Terms of Sale apply exclusively to plans for professional operators and drone pilots, available in two distinct tiers:

• Marketplace plan: €10 excl. VAT / month / company — directory listing, receipt of client briefs and submission of commercial proposals
• Mission/Fleet Management plan: €5 excl. VAT / month / active user — access to the full operational suite (mission management, drone fleet, DGAC ManEx, intervention reports). An active user is a member with an open account on the Service. Billing is based on the number of subscribed seats; deactivating an account does not suspend billing for the corresponding seat. It is the administrator's responsibility to reduce their subscription to end billing for a seat.

Prices may change. Any pricing change is communicated to clients by email with a minimum notice of 30 days before taking effect.

3. Free trial

Every new account benefits from a 3 (three) calendar month free trial starting from the account creation date, with full access to all features. No credit card is required during the trial period.

At the end of the trial period, access to the Service is suspended unless the company subscribes to a paid plan. Data is retained for 30 days after the trial ends before permanent deletion.

4. Billing and payment

Billing is monthly, in arrears. Payment is made by automatic debit via the Stripe payment platform. The subscription is tacitly renewed each month.

Invoices are available for download in the account administration panel. They are issued in euros, excl. VAT. Applicable VAT is shown separately in accordance with current regulations.

5. VAT

Prices are quoted excluding taxes. French VAT at the applicable rate applies to taxable customers established in France. For customers established in another EU Member State, the customer's country VAT applies in accordance with electronic services localisation rules.

Non-EU customers benefit from a VAT exemption. Any customer wishing to benefit from intra-Community VAT reverse charge must provide their valid intra-Community VAT number at the time of subscription.

6. Cancellation

The subscription may be cancelled at any time by the User from their administration panel, with no fees or penalties. Cancellation takes effect at the end of the current monthly period: no further access is granted beyond that date.

7. Refunds

In accordance with SaaS industry practice and to the extent permitted by applicable regulations, no pro-rata refund is granted for cancellations made during a monthly period.

In the event of a billing error demonstrably attributable to Meridian Synergy, a credit note or refund will be issued within 15 business days of the error being identified.

8. Late payment and suspension

In the event of non-payment, the Publisher sends a payment reminder by email on the due date. If payment is not made within 7 days of the reminder, access to the Service may be suspended. Data is retained during this suspension period.

If payment is not regularised within 30 days of suspension, the Publisher reserves the right to terminate the account and delete the associated data, after a final warning by email.

9. Governing law

These ToS are governed by French law. In the event of a dispute, an amicable solution will be sought first.

In the absence of an amicable agreement within 30 days, any dispute shall be submitted to the exclusive jurisdiction of the Paris courts.
